The agreement that covers your use of Prostay.
These terms govern your use of the Prostay marketing site (prostay.com) and the Prostay product. By creating an account or signing an order form, you agree to them on behalf of your property or organisation.

For paying customers, the Master Subscription Agreement attached to your order form supersedes anything in this page. This page is the public version of the same commitments.
Section 01
Your account
You must be 18 or older to create an account. You are responsible for keeping your credentials safe and for the actions of users you invite to your tenant.
You agree to provide accurate billing and contact information and to keep it current.
Section 02
Subscription, fees and renewal
- Plans are billed monthly or annually in advance. Fees are non-refundable except where required by law.
- Annual subscriptions auto-renew for the same term unless cancelled at least 30 days before the renewal date.
- Per-room and per-property pricing is calculated on the live count of rooms/properties at the start of each billing period.
- We reserve the right to update pricing with 60 days’ notice. Existing committed terms are unaffected.
Section 03
Acceptable use
You agree not to use Prostay to:
- Send spam or unsolicited commercial messages outside the lawful guest-communication scope of your property.
- Reverse-engineer the product, access it via automated tools beyond documented APIs, or resell it without our written consent.
- Upload malicious code or use Prostay to host content that is illegal, infringing or abusive.
Section 04
Intellectual property
We retain all rights in the Prostay product, brand and documentation. You retain all rights in your data. We claim no ownership over your reservations, folios, guest profiles or messaging history.
You grant us a limited, non-exclusive licence to host, transmit and process your data solely to deliver the service and improve it in aggregate, anonymous form.
Section 05
AI features
When you enable an AI agent (Booking Assistant, Front Desk Agent, Nexus Reply Drafter, Sales Co-pilot), it operates only on data inside your tenant and on the policies you configure. We do not train shared models on your operational data.
Section 06
Availability
We target 99.9% monthly uptime for the production product. Real-time status and historical availability are published at support. Service credits for missed targets are defined in the SLA annexed to your order form.
Section 07
Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential damages. Each party’s aggregate liability under these terms is capped at the fees paid by you in the 12 months preceding the event giving rise to the claim.
Nothing in these terms limits liability for fraud, gross negligence, wilful misconduct or any other liability that cannot lawfully be limited.
Section 08
Termination
You may terminate your account at any time. Annual prepayments are non-refundable. We may suspend or terminate accounts that materially breach these terms or that present a security risk.
Section 09
Governing law
These terms are governed by the laws of Hong Kong SAR. Disputes are subject to the exclusive jurisdiction of the Hong Kong courts, except where a mandatory consumer-protection rule in your country grants a different forum.
